Communications between you and CoverPin are not protected by attorney-client privilege. We are also not accountants, tax advisors, or licensed insurers. The Services provided are not a substitute for professional advice from licensed legal, tax, or financial professionals. No fiduciary relationship is created through your use of the Services. The provision of Services by CoverPin does not give rise to any fiduciary duty, whether express or implied, on the part of CoverPin or any of its affiliates, employees, contractors, or representatives. The fees charged for our Services, and the limitations on liability and available remedies as set forth in these Terms, are based on the risk allocation negotiated and agreed to by the parties and reflect the nature of the Services provided.

(i) any actual or alleged breach by you of these Terms of Service or the CoverPin Privacy Policy;

(ii) your use or misuse of the Services;

(iii) your provision of inaccurate, incomplete, or misleading information to CoverPin;

(iv) your violation of any applicable law, regulation, or third-party right, including without limitation any rights of privacy, publicity, or intellectual property;

(v) any third-party access to or use of the Services through your account credentials, whether authorized or unauthorized;

(vi) any claims of copyright or intellectual property infringement arising out of your use of the Services, including the scanning or uploading of documents or other content;

(vii) any failure or delay by third-party delivery or postal services, including but not limited to the United States Postal Service or other couriers;

(viii) any loss, damage, or destruction of legal documents in the possession of or processed by CoverPin, regardless of cause;

(ix) any legal action in which CoverPin is named as a defendant or respondent due to its designation as your registered agent; and

(x) any failure by you to maintain current, accurate information within any CoverPin platform or as otherwise required in connection with the Services.

You acknowledge and agree that you are solely responsible for the accuracy, quality, integrity, legality, reliability, and appropriateness of any information you provide to CoverPin. You further acknowledge that CoverPin’s ability to perform Services on your behalf — including but not limited to regulatory or legal filings — is contingent on the accuracy and timeliness of the information you provide. You agree to promptly update your information and notify CoverPin of any changes that may affect the Services or the fulfillment of any legal obligations on your behalf.

CoverPin does not sell your personal or business information and treats all non-public information as confidential unless disclosure is required to fulfill legal obligations, complete filings, or comply with applicable law.
